1. Services Provided 01S Tech provides web and app development, tailor-made programming, SEO, digital marketing, website design, and AI integration services. All projects are governed by a separate Statement of Work (SOW) or Service Agreement.
2. Client Obligations Clients must provide timely feedback and necessary assets (logos, content, API keys). Delays caused by the client may result in adjusted timelines and additional fees.
3. Ownership of Deliverables Upon full and final payment of all project fees, the Client is granted a non-exclusive, non-transferable license to use the final "End Product" (e.g., the live website or compiled application) for its intended business purpose.
4. Source Code & Proprietary Rights
Decision Power: The delivery of original source code, backend logic, and development files is not guaranteed and remains at the sole discretion of 01S Tech Limited.
Negotiation Required: Any transfer of source code ownership or access must be negotiated separately and may be subject to additional "Buy-out" fees.
Reserved Frameworks: 01S Tech Limited retains all rights, titles, and interests in any pre-existing code, proprietary tools, "base" themes, or specialized modules (the "Background Technology") used to build the project. These are licensed—not sold—to the Client only as part of the working End Product.
Third-Party Code: Rights to third-party libraries, APIs, or open-source components are governed by their respective licenses and are not the property of 01S Tech Limited or the Client.
5. AI Integration & Third-Party Services Where AI services (e.g., Chatbots, LLMs) are integrated, 01S Tech is not liable for the accuracy or nature of the output generated by third-party AI models. The client is responsible for monitoring AI outputs for compliance and accuracy.
6. Limitation of Liability 01S Tech is not liable for any loss of profit, data loss, or business interruption resulting from the use of our software or services. Our total liability is limited to the amount paid for the specific service in question.
7. Termination Either party may terminate a project with [30] days’ notice. The client is responsible for paying for all work completed up to the date of termination.
